Merck successfully managed to break up a deal between two US chemicals companies on Monday following a six-week hostile campaign, winning support from the board of Versum Materials for its $6.4bn proposal to buy the group.

Versum, which had rejected Merck’s prior overtures, said it had agreed a new $53 per share offer from the German healthcare and life sciences group was superior to the all-stock deal it had struck with rival Entegris in January. Merck will also assume Versum’s roughly $570m of net debt as part of the transaction.

Merck had previously offered to pay $48 per share for Versum, triggering a rally in the US chipmaker supplier’s share price. Versum said that following Merck’s revised offer it agreed to terminate its agreement with Entegris, which offered to buy the Arizona-based group for just over $4bn.
